When and how can you make a transfer of the company’s shares?
The shares can be transferred with compensation (share sale). Also, the shares are transferred without compensation (lucrative transfer share), or for a symbolic price. The price for a share transfer must be fully paid before the initiation of the procedure for the share transfer.
The shares can be transferred in whole or part. In the event of the transfer of the share in its entirety, the partnership relationship of the former partner ceases. In other words, he withdraws from the company.
The shares can be transferred to another partner or to the company itself, or a third party. The share can be transferred to a third party if the other partners don’t want to take over the share.
If the old partner was also the manager of the company, a change of the manager is needed as well.
What do you need to be careful about?
The preparation of the necessary documentation is not enough for the successful completion of the procedure. The previous partner, as well as the new partner, must not have any unpaid debts before the state organs.
This is proven by obtaining a Certificate of Paid Taxes and Contributions from the Public Revenue Office, and a Certificate of Non-Existence of Customs Obligations from the Customs Administration. If you have unpaid dues on these grounds, the procedure for the share transfer would be impossible.
