FOREIGN DIRECT INVESTMENTS LAWYER – Foreign direct investments are part of the strategic determination of every country. Foreign investments lead to an increase in the national GDP, the creation of new jobs, and bigger competition in the market. To record the movement of foreign capital for tax and other purposes, the foreign direct investments must be registered in a procedure before the Central Registry of the Republic of North Macedonia by an authorized registration agent – a lawyer.

What are foreign direct investments?

 

Foreign investments are capital investments made by:

  • non-residents in new or existing companies registered in North Macedonia, and
  • residents in new or existing foreign companies.

 

Examples of direct investments:

  • Registration of a company;
  • Increase the share capital of the company;
  • Establishment of a branch office;
  • Acquisition of full ownership over an existing company;
  • Participation of more than 10% in a newly formed or already existing company;
  • Making a long-term loan with a period of five years or more;

 

Examples of NON-direct investments:

  • The purchase of equipment in North Macedonia;
  • Payment in MKD via payment slip;
  • The transfer of share capital to a foreigner without compensation;
  • Participation of less than 10% in the total share capital of a company;
  • A non-monetary investment, made in consumables;
  • Compensation, cession, assignment, etc.

 

How does one convey the procedure for registration of foreign direct investments?

 

The investor (physical or legal person) must register the investment. The investor must comply with this obligation within 60 days of the capital investment.
